About The Firm
Built on the conviction
that the most valuable
assets are invisible.
VNC Capital was engineered from a singular premise: the highest-yield acquisition targets in the technology sector are the ones that never surface publicly. We exist to map them, isolate them, and acquire them—deploying capital aggressively alongside our retained institutional partners and single-family offices.
The Problem
Brokered auctions are a tax on institutional returns.
The traditional M&A market operates on a fundamentally broken model. Investment banks and business brokers run broad auctions that create competitive pressure, drive up multiples, and generate public noise — all of which erode the very returns that sophisticated buyers are mandated to protect.
For every brokered deal that closes at 6–8x EBITDA, there exists a universe of equally profitable, founder-operated technology platforms that have never been marketed, never engaged a broker, and never considered a transition — until the right conversation happens at the right time.
The Solution
Exclusive private equity eliminates the auction premium.
VNC Capital bypasses the public market entirely. We operate as the central nervous system for off-market deal flow, proactively mapping, isolating, and extracting highly profitable bootstrapped technology platforms before they ever hit the market or engage a broker.
We bridge the gap between patient institutional capital and generational founder transition events — facilitating quiet, highly strategic capital deployments and ownership transitions that preserve maximum value for all parties.

Leadership
Arpit Mishra
Founder & Managing Partner
Arpit Mishra directs VNC Capital's global acquisitions and macro-strategy. He does not operate in the transactional weeds — he orchestrates the firm's private equity architecture, manages capital deployment from retained institutional partners, and dictates the pipeline flow that gives those partners their first-mover advantage.
Under his leadership, VNC Capital has been positioned as a premier private equity firm in the lower-middle-market technology sector — the central nervous system through which the most valuable off-market acquisition opportunities are identified, qualified, and acquired by sophisticated institutional buyers.
He is not a service provider to the Private Equity Managing Partners and Family Office principals he works with — he is their peer. He controls the market intelligence and the proprietary data infrastructure that defines their competitive edge in sourcing off-market technology acquisitions.
