As we move through the midpoint of 2026, the macroeconomic landscape continues to dictate capital allocation strategies for major institutional buyers. With interest rates stabilizing, the focus has shifted from defensive positioning to aggressive, targeted yield generation.

The LMM Technology Mandate

Lower-middle-market technology—specifically Managed Service Providers (MSPs) and mission-critical B2B SaaS—remains the most resilient sector. These platforms boast sticky recurring revenue, high switching costs, and strong free cash flow, making them ideal targets for Private Equity platforms executing buy-and-build strategies.

We are observing a massive divergence in valuation multiples based on retention metrics. Companies with gross revenue retention (GRR) above 90% and net revenue retention (NRR) above 110% are commanding premiums, while assets with high churn are being heavily discounted or ignored completely. Institutional capital is no longer willing to underwrite leaky buckets in pursuit of top-line growth.

By building deep, direct relationships with LMM technology founders years before an exit event, acquirers can structure transactions that align with the founder's legacy and timeline, rather than being forced into a rigid, banker-led auction schedule. This requires a dedicated internal thesis and a willingness to engage in long-term ecosystem development.
